Companies House Changes Starting 1st October 2009
Starting 1st October 2009, Companies House will be changing the law for all companies within the United Kingdom.

Here are some key things you will need to know about the new changes relating to you and your company:

 Company Set Ups Made Easier

Various changes have been made to make it easier for you to set up a company and Companies House have produced a set of guidance notes which give step by step instructions on how to form and dissolve a company. Full details of these changes can be found on the Companies House website.

 New Articles for New Companies

 Changes will be made to company articles for new companies. These articles will include the company's liability and objects which are the articles that were previously in the memorandum.

Notification of Article Changes and Amendments

  From 1st October any amendments to a company's articles must be sent to Companies House within 15 days of amendment. Failure to do so will be seen as a criminal offence and you could face a civil penalty of £200.

 
Protection for disclosure of Directors Addresses


At the moment, every director of a company will have a residential address and a service address, with the service address publicly available and the residential address only made available to credit reference agencies and public authorities. Starting 1st October 2009, the director's current residential address will automatically become their service address. However, if you wish to register a different service address, you can change these details online on the Companies House website starting from the 1st October 2009.

 Accounts should be filed 1 month earlier in order to avoid a penalty

Companies house have introduced a new deadline whereby filling accounts need to be done 1 month in advance, meaning you have one month less to file your accounts!

If accounts are filled late, you could face a filing penalty of up to £1500.

 Changing Forms

  All Companies House forms will be changing starting from the 1st October 2009. These new forms have to be used for all company events that take place on or after 1st October or it will be rejected. Forms can be filed online making it easier without having forms rejected.

 Don't Forget! The following changes have already taken place.

 

You must:

  •  Be Aged 16 or over to be appointed as a director

You do not need to:

 
  • Appoint a company secretary if you are a private company, though you can still do so if you wish.

  • Hold an annual general meeting if you are a private company, unless you opt to do so.

  • Have a unanimous vote for resolutions, subject to articles, if you are a private company. Members may agree in writing to resolutions.

  • Get a court order to make capital reductions as a private company- they can be supported by a solvency statement instead.
